4. RESTRICTIONS AND PROHIBITIONS
4.1. By accessing and using the Services, you confirm that you are not included in any international trade or economic sanctions list.
4.2. The Service Provider has the right to choose its operational territory and may partially restrict or fully deny services to Clients from certain countries.
4.3. Clients falling under prohibited clauses are forbidden from using the Platform and its services.
4.4. The User agrees not to use the Platform for any unlawful purpose. The Company reserves the right to report any suspicious activities to relevant authorities and to immediately suspend or terminate the account of any User suspected of engaging in these prohibited activities. Prohibited activities include, but are not limited to:
4.5. These Terms of Service and the Platform's operations shall be entirely governed by the relevant laws of Mongolia.
4.6. By using the Services, the Client agrees to comply with the applicable laws and these Terms of Service. This provision shall be valid regardless of the Client's place of residence or citizenship.
4.7. The Accredited Investors-only projects in the Launchpad section of the Denode Platform are exclusively intended for "accredited investors" and "institutional investors" as defined under the laws of Mongolia. Such investors must be at least 18 years of age, possess a comprehensive understanding of the associated risks, and be willing to accept the potential consequences of their investment decisions, including the possibility of losing their entire invested capital. The Service Provider reserves the right to restrict access to this section to those Clients who meet these criteria and have been duly verified as Accredited Investors in accordance with the Platform's policies and applicable regulations.
4.8. The Launchpad section of the Denode Platform permits public access to general information regarding Denode and previously offered Projects. However, certain Projects offered on the Restricted Section of the Launchpad are accessible exclusively to Clients who have successfully created an Account, attained the status of a Verified User, and have been whitelisted by the relevant Issuer. It is hereby acknowledged and agreed that the Restricted Section of the Launchpad may not be accessible in all jurisdictions or to all Clients due to regulatory constraints or other factors beyond the Service Provider's control. The Service Provider expressly reserves the right, at its sole and absolute discretion, to deny, suspend, or revoke any Client's access to the Restricted Section without obligation to provide justification. Such decisions shall be deemed final and binding, and the Service Provider shall not be liable for any direct, indirect, incidental, or consequential damages or losses arising from such denial, suspension, or revocation of access.
