34. FORCE MAJEURE
34.1. Under no circumstances shall the Service Provider be liable for any delay, failure, loss of profits, trading opportunities, or other damages resulting directly or indirectly from events, forces, or causes beyond its reasonable control, including but not limited to:
a) Technical and system issues:
  • Platform disruptions including system errors, downtime, network issues, data problems, and capacity limitations
  • Integration failures with third-party services
  • Cybersecurity incidents or required security measures
  • b) Maintenance and Operations:
  • Scheduled or emergency maintenance
  • System upgrades and infrastructure changes
  • Security and performance updates
  • c) Workforce and Health Events:
  • Labor disputes or staff shortages
  • Health emergencies or pandemics affecting operations
  • Required workplace safety measures
  • d) External Factors:
  • Internet or power disruptions
  • Market volatility or extraordinary trading conditions
  • Regulatory changes or requirements
  • Natural disasters, civil unrest, or acts of war
  • Government actions or restrictions
  • 34.2. The Client explicitly acknowledges and agrees that:
  • Electronic trading systems are inherently vulnerable to technical issues and interruptions.
  • The Service Provider makes no guarantees regarding system availability or uptime, trade execution speed or reliability, order matching or fulfillment, platform performance during high-volume periods, and continuous market data availability.
  • The Client should maintain alternative trading arrangements, regularly verify order status and positions, keep records of attempted transactions, and have contingency plans for system issues.
  • 34.3. The Client acknowledges that the Service Provider's obligations under this agreement shall be suspended or excused to the extent that performance is prevented or delayed by any events or causes enumerated above, whether such events affect the Service Provider directly or indirectly through its third-party service providers, vendors, or partners.
