15. THIRD PARTY SERVICE PROVIDERS
15.1. The Client acknowledges and agrees that in order to provide the Services, the Service Provider may engage, outsource to, or integrate with various third parties, including but not limited to:
  • B2B business partners;
  • Financial institutions;
  • Banks;
  • Capital markets services license holders;
  • Digital asset custodians; and
  • Other service providers as deemed necessary by the Service Provider collectively referred to as "Third Party Service Providers").
  • 15.2. In the course of providing the Services, the Service Provider may be required to transfer, transmit, distribute, or publish all or any content, information, personal data, or communication (collectively, "Data") provided by the Client to these Third Party Service Providers.
    15.3. The Client hereby grants to the Service Provider and its agents a perpetual, non-exclusive, worldwide, royalty-free, irrevocable license and right to transfer and transmit the Data, subject to the Service Provider's Privacy Policy.
    15.4. By accepting these Terms of Service, the Client expressly consents to and authorizes the Service Provider to share the Client's Data with Third Party Service Providers as necessary for the provision of Services. The Client acknowledges that such Data sharing is essential for the proper functioning of the Denode Platform and the provision of Services.
    15.5. The Service Provider shall take reasonable measures to ensure that Third Party Service Providers maintain appropriate technical and organizational measures to protect the Client's Data.
    15.6. The Service Provider shall require Third Party Service Providers to adhere to confidentiality obligations with respect to the Client's Data.
    15.7. The Client acknowledges and agrees that the Service Provider shall not be liable for any breach, misuse, or failure on the part of any Third Party Service Provider in relation to the Client's Data.
    15.8. The Service Provider's liability in relation to the acts or omissions of Third Party Service Providers shall be limited to the extent permitted by applicable law.
    15.9. The Service Provider reserves the right to change, add, or remove Third Party Service Providers at its discretion.
    15.10. The Service Provider shall make reasonable efforts to notify Clients of any material changes to Third Party Service Providers that may affect the handling of Client Data.
    15.11. The Service Provider shall ensure that its agreements with Third Party Service Providers comply with applicable data protection and privacy laws.
    15.12. In the event of any conflict between these Terms of Service and applicable data protection laws, the latter shall prevail.
    15.13. The Client retains the right to request information about which Third Party Service Providers have access to their Data.
    15.14. The Client may object to the sharing of their Data with specific Third Party Service Providers, subject to the Service Provider's ability to provide the Services without such sharing.
    15.15. The provisions of this section shall survive the termination or expiration of these Terms of Service.
